These Terms of Service ("Terms") govern your use of the Blackbird lead management platform ("Service"), operated under the trading name "Blackbird SEO". By activating your account you agree to these Terms.
The Service is provided by one of two affiliated entities, depending on your billing region. The entity that contracts with you, bills you, and is responsible to you under these Terms ("Blackbird", "we", "us") is determined by your account's billing currency:

References to "Blackbird", "we", or "us" in these Terms mean whichever entity above contracts with you. Full contact details for both entities are in Section 14.
Blackbird provides a lead management platform that routes inbound customer inquiries ("leads") from your designated website(s) to your account dashboard. Leads may arrive by web form or inbound phone call. We do not guarantee lead volume, lead quality, or conversion outcomes.
You must be at least 18 years old and authorized to enter contracts on behalf of your business. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at info@blackbirdseo.com if you suspect unauthorized access.
Fees are charged according to the billing model selected at sign-up (flat monthly fee, revenue share, or per-lead), by the Blackbird entity that contracts with you (see above). By providing a payment method you authorize that entity to charge fees as they become due. All fees are non-refundable unless required by applicable law. If a charge fails we will notify you by email and SMS; continued non-payment may result in suspension of your account.
All leads provided through our Service are exclusive to you and are not shared with other clients. While we deliver the leads to you, it is your responsibility to follow up, nurture, and engage with them in order to convert them into paying customers.
A lead is considered valid if it includes, at a minimum: full name, phone number, email address, location or address, and a clear description of the project or enquiry.
Leads delivered to your account contain personally identifiable information (name, phone, email) of third-party customers. You agree to:
You must not use the Service to transmit spam, conduct fraudulent transactions, violate any law, or interfere with the platform's operation. Blackbird may suspend or terminate accounts that violate this section without prior notice.
By activating your account you consent to receive transactional emails and SMS notifications about new leads, billing events, and account activity. You can manage notification preferences in your dashboard at any time. Standard message and data rates may apply to SMS. Reply STOP to opt out of SMS.
The Blackbird platform, including its software, design, and documentation, is owned by Blackbird Digital Ltd and its affiliates. You receive a limited, non-exclusive, non-transferable licence to access and use the Service during your subscription solely for its intended purpose.
You may not copy, modify, distribute, resell, sublicense, or otherwise exploit any part of the Service. You are also strictly prohibited from reverse engineering, decompiling, disassembling, or attempting to derive the source code, underlying structure, or ideas of the platform.
You may not create derivative works based on the Service or use the platform to build a competing product or service.
The Service is provided "as is" without warranties of any kind. We do not warrant uninterrupted or error-free operation, nor that the platform will meet your specific business requirements.
To the maximum extent permitted by law, Blackbird's total liability for any claim arising out of or relating to the Service is limited to the fees you paid in the three (3) months preceding the claim.
We are not liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, revenue, data, or business opportunities.
Blackbird will not be held liable for any delay, failure, or loss arising from events beyond its reasonable control, including but not limited to internet outages, third-party service failures, hosting or platform disruptions, natural disasters, government actions, labour disputes, or cyberattacks. In such circumstances, our obligations will be suspended for the duration of the force majeure event, and we will make reasonable efforts to resume the Service as soon as practicable.
Either party may terminate the agreement at any time by providing at least one (1) month's written notice to the other party. Upon termination your access to the Service will cease. You remain responsible for all fees and charges incurred up to the effective termination date.
All fees paid in advance are non-refundable unless otherwise required by law or expressly agreed in writing. Any outstanding balances up to the termination date must be paid in full and will become immediately due. We may retain lead data in accordance with our Privacy Policy and applicable law.

We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. Any changes will be effective upon posting the updated Terms on our website or platform. Your continued use of the Service after the updated Terms have been posted constitutes acceptance of the revised Terms.
